These Terms of Service (“Terms”) govern your access to gridandtone.com (the “Site”) and your purchase and use of products offered by Grid & Tone (“Grid & Tone,” “we,” “us,” or “our”).
By accessing the Site, creating an account, or placing an order, you agree to these Terms. If you do not agree, do not use the Site or purchase our products.

If these documents conflict, the more specific provision controls. The Digital Product License & Permitted Use Agreement controls how a purchased product may be used. The Digital Product Refund Policy controls refund eligibility.
2. Eligibility
You must be legally able to enter into a binding agreement to use the Site or make a purchase. If you are under the age of majority where you live, a parent or legal guardian must make the purchase on your behalf.
If you purchase for a business or another organization, you represent that you have authority to bind that organization to these Terms.
3. Digital Products
Unless a product page expressly states otherwise, Grid & Tone products are digital products and no physical item will be shipped. Products may include wallpapers, digital artwork, LUTs, presets, templates, workspaces, guides, courses, and other downloadable or hosted content.
Product pages identify the included files, intended use, compatibility, and any software, device, account, or technical requirements. You are responsible for reviewing those requirements before purchasing.
Preview images and demonstrations are illustrative. Colors, crops, appearance, and results may vary by display, device, source footage, camera settings, software version, color-management workflow, and user technique. We do not guarantee that a product will produce an identical result in every environment.
4. Orders, Prices, and Payment
Submitting an order is an offer to purchase. We may accept, decline, limit, or cancel an order for reasons including suspected fraud, payment failure, pricing or listing errors, unauthorized resale, or violation of these Terms. If we cancel a paid order before delivery, we will refund or void the applicable charge.
Prices are displayed in the currency shown at checkout. Applicable taxes and any other required charges will be displayed before you complete payment. You agree to provide current, complete, and accurate billing and contact information.
Discounts and promotions apply only under their stated terms and generally cannot be applied retroactively.
5. Digital Delivery
Digital products are delivered according to our Digital Delivery Policy. Delivery may consist of a download link, access link, account invitation, course login, or other electronic instructions.
You are responsible for providing a valid email address, checking filtered email folders, downloading purchased files promptly, and maintaining your own lawful backup copies.
6. Refunds
Because digital products cannot be physically returned, purchases are final once the product or access instructions have been delivered, except as stated in our Digital Product Refund Policy or where applicable law requires otherwise.
7. Product License and Intellectual Property
A purchase gives you a limited license to use the product; it does not transfer ownership of the product or its intellectual property.
Your permitted use is governed by the Digital Product License & Permitted Use Agreement supplied or linked with the product. Unless a product page or written license expressly states otherwise, each purchase is licensed to one purchaser and one user.
All products, Site content, branding, designs, graphics, text, videos, previews, and other materials are owned by Grid & Tone or its licensors and are protected by intellectual-property laws. You may not copy, redistribute, resell, sublicense, share, upload, publish, make available for download, or otherwise exploit them except as expressly permitted by the applicable license.
8. Accounts and Security
If an account is required, you are responsible for safeguarding your login credentials and for activity conducted through your account. You may not share an account or use another person’s account without authorization.
Notify us promptly at hello@gridandtone.com if you believe your account, download link, or purchase information has been compromised.
9. Prohibited Conduct
You may not:
- Use the Site or products for an unlawful, fraudulent, or abusive purpose
- Violate the rights of Grid & Tone or any third party
- Circumvent access controls, download limits, licensing restrictions, or security measures
- Scrape, crawl, reverse engineer, disrupt, overload, or introduce malicious code to the Site
- Submit false payment, identity, or contact information
- Purchase products for unauthorized redistribution, resale, sharing, or sublicensing
- Use the Site in a way that interferes with another person’s access or with the operation of the Site
We may suspend access, cancel an order, or terminate a license when reasonably necessary to address fraud, security risks, or a material violation of these Terms or the applicable product license.
10. Third-Party Services
Our store is hosted by Shopify and may use third-party payment processors, file-delivery services, course platforms, template platforms, and other providers. Certain products may require compatible third-party software or an account with a third-party service, as disclosed on the product page.
Your use of a third-party service may also be governed by that provider’s terms and privacy policy. We are not responsible for changes to or interruptions of third-party services outside our reasonable control. This section does not limit any remedy available under our Digital Product Refund Policy when a product was materially misdescribed or cannot be delivered as promised.
11. Privacy
Our collection and use of personal information are described in our Privacy Policy. By using the Site, you acknowledge that your information may be processed by Shopify, payment providers, and other service providers needed to operate the store and complete your order.
12. Disclaimers
To the maximum extent permitted by law, the Site and products are provided “as is” and “as available.” We disclaim implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.
We do not guarantee that the Site or a third-party platform will always be uninterrupted or error-free, or that creative products will achieve a particular artistic, commercial, audience, or financial result.
Templates, guides, courses, and other educational materials are provided for general informational purposes. They are not legal, tax, financial, medical, or other professional advice.
Nothing in these Terms excludes a warranty or consumer right that cannot lawfully be excluded.
13. Limitation of Liability
To the maximum extent permitted by law, Grid & Tone will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, data, business opportunities, or goodwill arising from the Site or a product.
To the maximum extent permitted by law, Grid & Tone’s total liability for a claim relating to a product will not exceed the amount you paid for the product giving rise to that claim.
These limitations do not apply to liability that cannot lawfully be limited or excluded.
14. Indemnification
To the extent permitted by law, you agree to indemnify and hold Grid & Tone harmless from third-party claims, losses, and reasonable expenses arising from your unlawful use of the Site or products, your material violation of these Terms or a product license, or your infringement of another person’s rights.
15. Termination
You may stop using the Site at any time. We may restrict or terminate access for a material breach of these Terms, suspected fraud, or a security threat.
Termination does not eliminate payment obligations already incurred. Your right to use a purchased product may terminate as provided in the applicable Digital Product License & Permitted Use Agreement.
16. Governing Law and Disputes
These Terms are governed by the laws of the State of California, without regard to conflict-of-law rules.
Before filing a legal claim, you and Grid & Tone agree to make a good-faith effort to resolve the issue by contacting hello@gridandtone.com. If the issue cannot be resolved informally, disputes will be brought in the state or federal courts with jurisdiction in Alameda County, California, unless applicable law requires otherwise.
Nothing in this section prevents either party from seeking urgent injunctive relief or using a small-claims process where eligible.
17. Changes to These Terms
We may update these Terms by posting a revised version on the Site and changing the “Last updated” date. Changes apply prospectively. A purchase is governed by the version presented when the order was placed, unless a change is required by law or you agree otherwise.
18. General Terms
If any provision is found unenforceable, the remaining provisions will remain in effect. Our failure to enforce a provision is not a waiver of that provision.
These Terms and the incorporated policies constitute the entire agreement concerning the Site and your purchase, except for any separate written agreement signed by Grid & Tone.
